Upon joining Woi.link, we extend a warm welcome to you. By engaging with Woi.link, you automatically agree to adhere to these Terms & Conditions ("Terms") as well as any additional policies linked here and on the Platform.

These Terms, along with the linked policies, govern your utilization of our website (https://woi.link), apps, and any other software or features associated with our services, collectively referred to as the "Platform" or "Woi.link". When we use pronouns like "we," "our," or "us" in these Terms, we're referring to Woi.link and its affiliated companies.

In order to establish an account and become a Woi.link user, you must be at least 18 years of age. If you're setting up an account on someone else's behalf, you must obtain their explicit permission to do so. The responsibility for your account lies with you, and it's crucial to use it in a manner consistent with the law.

Upon creating an account, you affirm your commitment to abide by these Terms and confirm that you are (i) above the age of 18, and (ii) legally capable of entering into this agreement with us. It is imperative that you furnish us with accurate information about yourself; if any changes occur, kindly notify us promptly so we can update your details.

If you are using Woi.link on behalf of a business or an individual, you warrant that you have the necessary authorization to represent them and to consent to these Terms on their behalf.

The security of your account rests on your shoulders, so please safeguard your login credentials and password, refraining from sharing them with anyone. If you suspect any compromise of your account, do not hesitate to reach out to us immediately.

It is strictly prohibited to assign or transfer your account to another individual, or to employ your account (or permit its use) in a manner that, in our reasonable judgment, may cause harm to Woi.link, tarnish our reputation, or infringe upon the rights of others or applicable laws and regulations.

Regarding your username, it must be suitable for all users and should not infringe upon anyone else's rights.

We understand that the username you select holds significant personal value. However, it is equally important that your chosen username is appropriate for a broad audience and does not violate anyone's rights, including intellectual property rights such as copyright and trademarks ("IP Rights").

You are prohibited from using the name of another person (such as a celebrity), brand, or company, adopting a username that is offensive, vulgar, or obscene, or creating an account with a username that you have no legitimate association with, solely for the purpose of future profit (commonly known as "Domain Squatting").

In the event that any of these issues arise concerning your username, we will assess the situation reasonably and may request you to make a change (and in some cases, we may reassign it to another user). If you decline to comply, we reserve the right to suspend or terminate your account. Should someone assert that your username infringes upon their intellectual property rights, they will need to submit an Intellectual Property report. You will then have the opportunity to issue a Counter Notice.

If you have not logged in, added new links, or received any traffic to your account in the last six months, we may potentially reclaim or reassign your username. However, rest assured, we will always contact you before taking any action.

As for your content - what's allowed and what isn't - we celebrate the diverse range of content that our users share on Woi.link! To ensure a safe experience for everyone visiting the Platform, we've established our Community Standards.

These standards clearly outline the types of content that are permitted and prohibited on Woi.link, so please ensure that you adhere to them. Failure to do so may result in the suspension or permanent removal of your account.

When we refer to "content," we encompass text, graphics, videos, links, and any other materials that you upload to your Woi.link profile. You are solely responsible for your content, and you warrant that:

It either belongs to you, or if it's third-party content, you have all the necessary rights to post it on Woi.link (and allow us to use it in accordance with these Terms).
None of your content will infringe upon the privacy, publicity, intellectual property, or other rights of any individual.
Your content will not be misleading, deceptive, or designed to misinform, nor will it likely mislead a reasonable person. It will not lead either party to violate any laws or legal obligations, and it will not bring disrepute to us or damage our reputation.
Your content will be free of viruses, harmful code, files, or programs intended to disrupt or damage the functionality of the Platform or any other software, hardware, or device.
You will not use or authorize others to use automated scripts or other scraping tools to collect information from your profile or the Platform.
You will refrain from posting unauthorized advertising, solicitations, or endorsements on Woi.link.
All of your content will comply with the Community Standards.

Given the variations in laws and regulations across different countries, we reserve the right to prohibit content that may be legally permissible in some regions. We will take whatever action we deem necessary, including content removal or restricting access to it or the Platform.

As for your content and what we can do with it, we highly value the content you share and aim to showcase it. By posting content on Woi.link, you grant us the right to display, utilize, and distribute it.

When you post content on your profile, you provide us with a license to (i) utilize, publicly display, distribute, modify, adapt, and create derivative works from such content; and (ii) use your name, image, voice, photograph, likeness, and any other personal attributes in the content; on the Platform and in our marketing across all media (including our social channels and other advertisements). This license is global, royalty-free, and everlasting, enabling us to use your content worldwide without the need for compensation, for as long as we see fit. By agreeing to these terms, you confirm that you possess all necessary third-party rights to post the content on Woi.link and grant us this license.

You maintain all your rights in your content. However, it's important to note that your content will be accessible to the public and may be used and shared by others on Woi.link and throughout the internet.

We don’t have to monitor the accuracy, reliability or legality of your content, but we may choose to do so. We may modify, remove or restrict access to content at any time in line with these Terms or apply a sensitive content warning to content that we deem unsuitable for all audiences.

Please refrain from sharing personal information that you prefer to keep private, and never disclose sensitive details like social security numbers or passport information, which could pose risks if in the wrong hands. You may only post personal information about others with their consent, and it's crucial to keep a record of it.

We are not obligated to monitor the accuracy, reliability, or legality of your content, although we may choose to do so. We reserve the right to modify, remove, or restrict access to content at any time in accordance with these Terms, or apply a sensitive content warning to material that we deem unsuitable for all audiences.

Regarding our Platform, we retain ownership, but grant you a limited right to use it for content sharing and engaging with other users' content. We do not assume responsibility for any content, products, or services provided by other users' profiles.

All rights, including intellectual property rights, in and to the Platform (excluding your content) (referred to as "Woi.link IP") are and will continue to be exclusively owned by Woi.link or our licensors. You will not acquire any rights in the Woi.link IP and are not permitted to use it (including our brand name or logo) for any purpose, such as implying a partnership with or endorsement from Woi.link, without our prior written consent.

As a user, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform for creating, displaying, using, playing, and uploading content in compliance with these Terms. Should we provide you with any images, icons, themes, fonts, videos, graphics, or other content, you are only permitted to use them on your profile and must adhere to any guidelines we make available to you.
You are prohibited from tampering with, hiding, or modifying any proprietary notices or trademarks on the Platform.
Unauthorized activities such as making copies, reproducing, distributing, licensing, selling, reselling, modifying, translating, disassembling, decompiling, decrypting, reverse engineering, creating derivative works, or attempting to extract the source code of the Platform or any of its components are strictly forbidden. If you visit Woi.link profiles (referred to as a "profile visitor"), we grant you a limited, non-exclusive, non-transferable right to view and interact with the Platform through user profiles.

To the extent permitted by law, we do not assume responsibility for any opinions, advice, statements, products, services, offers, or other content posted by other users on their profiles.

You can register on Woi.link either for a free or a paid plan, and you have the freedom to cancel at any time.

Your plan initiates upon accepting these Terms and persists until you choose to cancel it. If you terminate a paid plan, it will usually remain active until the conclusion of your present billing cycle, at which point it will automatically transition to a free plan.

Subject to applicable law, payments are non-refundable. However, we understand that circumstances may change. So, if you've selected a paid plan but cancel within 72 hours, we may consider an exception (please contact us at support@worldemart.com).

You are responsible for settling all subscription fees promptly when they come due. Woi.link transaction fees, along with processing fees, will be automatically deducted from the earnings of any transactions conducted on your profile.

Subscription fees — If you've opted for a paid plan, you must remit your subscription fees as they fall due. Unless otherwise specified, fees are denominated in USD and encompass transactional taxes (e.g., GST/VAT).

All subscription fees will be invoiced in advance on a recurring basis, contingent on your selected billing cycle (monthly or annually). Your paid plan will automatically renew under these updated Terms at the conclusion of your billing cycle, unless you've opted to cancel your plan.

Upon registration, you must furnish a valid payment method (e.g., credit card) and precise billing particulars. In doing so, you authorize us to charge all fees to the provided payment method. In the event of a failed automatic billing, we will dispatch an online invoice, which you must settle within the specified timeframe.

Woi.link transaction fees — We may levy a percentage on all transactions conducted on your profile (e.g., via our "Commerce" or "Support Me" features). These transaction fees will vary based on your plan and will be clearly outlined on our pricing page.

By agreeing to this, you acknowledge that if we implement transaction fees, they will be subtracted from your transaction proceeds prior to disbursement. You bear the responsibility for any external fees and taxes (including withholding taxes) if applicable, as well as income taxes related to payments received through the Platform. Processing fees — To facilitate transactions on Woi.link, we utilize third-party payment processing services (such as PayPal, Stripe, and Square). These services entail a processing fee, and each payment processor imposes its own fees in accordance with their respective terms and conditions. It is your responsibility to review, accept, and comply with these terms and conditions.

You acknowledge that processing fees will be subtracted from the proceeds of your transaction prior to receipt, and that Woi.link bears no responsibility for these fees.

We retain the right to adjust our subscription or transaction fees periodically, but we will always provide you with advance notice (and we strive to do so at least 1 month in advance). If you do not agree with the modified fees, you have the option to cancel your plan before the commencement of your next billing cycle.

We hold the privacy of our users and Profile Visitors in high regard.

Our Privacy Notice delineates how we manage your personal data for our own purposes. Additionally, our Data Processing Addendum (“DPA”), which is incorporated into these Terms, outlines your responsibilities (as well as ours) in respecting the privacy rights of visitors to your profile. By creating your account, you affirm that if the DPA is applicable to you, you have read, comprehended, and consented to it. For details regarding our use of cookies, refer to our Cookie Notice.

All data (and any associated IP rights) generated by us or the Platform based on your use (or the use by profile visitors or other users) of the Platform or content (“Data”) will be our property. We may furnish you with Data or visual representations of Data as part of the service we deliver on the Platform (referred to as “Data Analytics”). While we make no claims or guarantees regarding the accuracy or comprehensiveness of the Data Analytics, we endeavor to make it as precise and comprehensive as possible.

You assume responsibility for your profile visitors, including customers who make purchases of goods or services through your Woi.link (collectively known as "End Users").

You are exclusively accountable for (i) how End Users employ and interact with your profile and content; (ii) compliance with all relevant laws concerning your End Users, as well as all transactions between you and End Users conducted through your Woi.link (e.g., via our "Commerce" or "Payment lock" features).

You also agree that any donations received via our "Support Me" feature are given voluntarily, without any expectation of receiving goods or services in return. This feature is intended solely for the collection of donations for yourself (and not for fundraising on behalf of charities or other causes).

Should we share any confidential information about us or the Platform with you, you are obligated to maintain its confidentiality and security.

Occasionally, we may disclose information to you that is deemed confidential (e.g., we might unveil forthcoming features if you participate in beta testing with us). You are obliged to keep this information confidential and secure, and to implement reasonable measures to prevent unauthorized access.

We greatly value your input on how we can enhance Woi.link! On occasion, we may make "beta" functionality accessible to you and seek your feedback.

Please be aware that if you provide us with feedback, we have the freedom to utilize it in any manner we deem appropriate, without the obligation to compensate you (or without utilizing it at all). At times, we may present specific functionality of the Platform to you in a "beta" (or similar) state. You acknowledge that we are still in the process of assessing and testing such beta functionality, and it may not be as dependable as other segments of the Platform.

We do not accept liability for your utilization of the Platform, and it is your responsibility to maintain backups of your own content.

We are not accountable for any damages incurred from downloading, installing, or using the Platform, or from copying, distributing, or downloading any content from the Platform. You are solely responsible for adequately safeguarding and backing up your data, content, and devices used in connection with the Platform.

You agree to indemnify us against any loss resulting from a breach by you of these Terms, or from a third-party claim made against us in relation to your content.

Neither party shall be liable for any indirect, punitive, special, incidental, or consequential damages (including loss of business, revenue, profits, use, privacy, data, goodwill, or other economic advantage), whether in contract, tort (including negligence), or otherwise, even if the possibility of such damages was known.

Our liability to you under these Terms or in connection with the Platform will not exceed the greater of the fees you paid to us at the time the liability arose, or $100.

Under these Terms, there are a few things we want to make clear:

Your use of Woi.link and any content found on the Platform is at your own risk. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether expressed or implied. This includes (but is not limited to) warranties regarding uptime or availability, or any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Woi.link, along with its affiliates and licensors, does not provide any explicit or implicit warranties or representations, including but not limited to:

Assurance that the Platform will operate without interruption, securely, or be available at all times or in all locations. Guarantee that any errors or defects will be rectified.
Assertion that the Platform is free from viruses or other harmful components.
Affirmation that the Platform is effective or that the outcomes of its use will fulfill your requirements.
Confirmation that any content on the Platform (including user-generated content) is exhaustive, precise, dependable, appropriate, or accessible for any particular purpose.
These Terms are applicable to the maximum extent permissible by law, and nothing within them is designed to exclude, restrict, or amend any legal rights that you may possess and which cannot be excluded, restricted, or modified by contract. If these Terms are governed by the Australian Consumer Law, our responsibility to you for not complying with a consumer guarantee is restricted to re-supplying the services or offering payment.

Within the Platform, we may incorporate access to specific functionalities or services provided by third parties (e.g., a payment portal or an online storefront).

Woi.link integrates with a variety of third-party products and services. Unless expressly stated otherwise, we do not endorse (nor provide any warranties or representations regarding) any third-party product or service, and we do not offer refunds for any amounts you may have paid to a third party.

Your utilization of any third-party product or service may be subject to distinct terms and conditions, which you are accountable for reviewing, accepting, and adhering to. Failure to accept or comply with those third-party terms may result in the suspension or termination of your account, or a restriction on your access to such services within our Platform. If we are obligated to display specific third-party terms on our website, you can locate them at the bottom of this page. We also maintain a list of our sub-processors in our Privacy Notice. Changes:

Woi.link is in a state of constant evolution and enhancement. Accordingly, there may be occasions when we make adjustments to the Platform or modify these Terms. Should a change significantly impact you, we will provide advance notice.

Modifications to these Terms may be necessary periodically to account for business developments, alterations to the Platform (including potential discontinuation of certain functionalities, features, or sections of the Platform), legal or commercial considerations, or other measures taken to safeguard our legitimate interests.

We retain the right to implement these changes at our discretion, and it is your responsibility to periodically review these Terms for any updates. However, if a modification is anticipated to have a substantial adverse effect on you, we will make our best effort to notify you at least one month prior to its implementation (e.g., through a notification on the Platform).

Your continued use of the Platform subsequent to any alterations to the Terms signifies your acceptance of the revised Terms. If you do not concur with the modifications, we kindly request that you cease using Woi.link and terminate your account.

Certain jurisdictions may be subject to specific legal provisions based on your location. In such cases, if these laws conflict with any aspect of these Terms, the applicable laws will prevail to the extent of the inconsistency.

These Terms (inclusive of the Privacy Notice and any other linked policies) constitute the entire agreement between you and us concerning the Platform. No additional terms shall be incorporated unless legally required. All implied terms, excluding those mandated by statute and cannot be excluded, are explicitly waived.

If any provision of these Terms is deemed invalid under the laws of any country, it will be severed from these Terms in that jurisdiction, and the remainder of these Terms will remain in force.

These Terms are governed by the laws of UAE. Both you and we submit to the exclusive Dubai jurisdiction of the courts of those jurisdictions.

Our failure to insist upon or enforce any provision of these Terms will not be construed as a waiver of any provision or right. These Terms, as well as the Platform, do not establish an agent/principal relationship between you and us.

By utilizing Woi.link's Music Link or Video Link features to showcase YouTube videos on your Woi.link, you are indicating your agreement to abide by the YouTube Terms of Service.
